We are seeking a highly motivated and experienced Sr. Manager, Legal and Corporate Affairs to join a leading global company in the premium spirits and wine industry. This role offers a unique opportunity to shape the legal and corporate affairs strategy for a key market in Asia Pacific.
About the Role:
You will be responsible for all legal & compliance matters, including commercial, corporate, contracting, litigation, compliance and intellectual property (including counterfeiting) legal issues and following up their implementation within the affiliate. They shall also lead the corporate & industry affairs strategy for the company focusing on industry regulatory agenda and fostering positive reputation for alcohol in society. This position is reporting into the Pernod Ricard Japan CEO, for the Corporate Affairs part, and to the PRJ Finance & Operations Director for the legal part, with an indirect reporting line to the APAC Management Entity Legal & Public Affairs Director.
Key Responsibilities:
• Legal Compliance, Discipline & Empowering Organization:
o To review contracts and also, where required, to work with external counsels to review, draft contracts and agreements to protect the company's interests.
o Ensure the company adheres to all relevant laws, regulations, and corporate governance standards in Japan as well as global practices followed by the Group.
o This includes rolling out Group's global compliance initiatives (e.g. Partner Up or Gifts & Hospitality Policy) in Japan.
o Working closely with Internal Control Manager on Compliance Roadshows (upskilling our staff) through hosting at least 2 annual workshops or during townhall - legal compliance (eg: data privacy / falsifying documents / anti-trust laws etc).
o Assist in the preparation and filing of necessary corporate documents and oversee compliance with corporate governance requirements.
o Manage legal disputes and litigation involving the company, working with external counsel when necessary.
o Manage investigations and/or concerns raised by regulatory authorities.
o Identify legal risks and provide guidance to management on risk mitigation strategies.
o When necessary work with Group IP to Protect and manage the company's intellectual property rights, including trademarks, patents, and copyrights.
o Stay updated on changes in local laws and regulations affecting the company's industry and ensure compliance.
o Manage relationships with external law firms and consultants, as well as coordinate legal activities with other departments.
o Advise on employment law matters, including contracts, terminations, and workplace policies. Labor law compliance, in collaboration with PRJ HR director.
o Assist in due diligence processes for mergers, acquisitions, or other corporate transactions.
• Corporate Affairs:
o Engage with government agencies and regulatory bodies to ensure compliance and advocate for company's interest (Eg: JWSIA - Japan Wines and Spirits Importers' Association). Support and follow-up on industry lead lobbying initiatives to protect the interest & integrity of the industry in collaboration with other industry colleagues. Work with APAC CA team on actions required by APISWA (Asia Pacific International Spirits and Wines Alliance).
o Maintain strong corporate image, strengthen relationship with Trade and country Chambers and maintain strong visibility to optimize sustainable growth opportunities Eg: EBC, French Chamber / British Chamber / EU Chamber).
o Supporting MD and be the legal lead / liaison with respective key stakeholders to manage company crisis either triggered by government political / trade policies, brands related, NGO's or other external parties which would affect the industry and / or organization.
Qualifications, Experience & Skills Required:
• Education: Bachelor Degree in Law, Social Sciences or other relevant fields.
• Languages: Fluent in English and Japanese.
• Professional Experience & Know-how:
o Minimum 5 years experiences in FMCG or MNC in similar roles.
o Project management skills.
o Strong communication, key stakeholder management and collaboration skills.
o Autonomous with strong networking capability.
• Functional Competencies:
o Strong communication and presentation skills to effectively work with internal stakeholders.
o Good negotiation and influencing skills, systematic thinking and practical mindset.
• Personal & Interpersonal Skills:
o Strong team player, service-oriented, and problem solver.
Working Relationships:
You will collaborate internally with management team members and HQ/ME colleagues, and externally with Government, Foreign trade/government offices (eg JWSIA, NTA), and Legal agencies.
