We are seeking a dedicated and highly skilled Legal Counsel to join the Tokyo-based legal team and contribute to my client's mission.

**Job Description:**
As a Legal Counsel at my client's international pharmaceutical company based in Tokyo, you will play a vital role in ensuring that the company complies with all applicable laws and regulations, as well as providing sound legal guidance to support my client's business operations. Your responsibilities will include:

**Key Responsibilities:**

1. **Legal Compliance:** Stay up-to-date with Japanese and international pharmaceutical laws and regulations, and ensure my client's activities and operations are in compliance with them.

2. **Contract Review and Drafting:** Review, draft, and negotiate a wide range of agreements, including licensing agreements, distribution agreements, research and development contracts, and other legal documents.

3. **Intellectual Property:** Provide legal advice on intellectual property matters, including patents, trademarks, and copyrights. Collaborate with the intellectual property team to protect my client's assets.

4. **Litigation Management:** Assist in managing legal disputes and litigation matters. Collaborate with external counsel when necessary.

5. **Regulatory Affairs:** Advise on regulatory matters, including FDA and other regulatory agency submissions, product labeling, and advertising compliance.

6. **Corporate Governance:** Assist in maintaining proper corporate governance and compliance with internal company policies.

7. **Risk Management:** Identify legal risks and provide strategies to mitigate those risks effectively.

8. **Mergers and Acquisitions:** Participate in due diligence processes for potential acquisitions or mergers, providing legal expertise and support.

9. **Training and Education:** Conduct training sessions for company employees on legal and compliance matters as needed.

**Qualifications:**

- A Juris Doctor (J.D.) degree and active membership in the Japanese Bar Association.
- A minimum of 5 years of legal experience in pharmaceutical or healthcare-related industries, preferably in an international context.
- Strong knowledge of Japanese and international pharmaceutical laws and regulations.
- Proficiency in contract review and negotiation.
- Excellent written and verbal communication skills in both Japanese and English.
- Strong analytical, problem-solving, and organizational skills.
- Ability to work independently and collaboratively in a team environment.
- Demonstrated commitment to ethical and legal standards.

**Additional Information:**
- This is a full-time position based in Tokyo, Japan.
- The successful candidate will report to the General Counsel.
- International travel may be required on occasion.
